Client Onboarding Agreement

This Client Onboarding Agreement (“Agreement”) is entered into by and between:

  • Nexwinds Solutions Lda (“Nexwinds,” “we,” “us,” or “our”), a company registered in Portugal, with its principal office at Rua Engenheiro João Tallone, n.º 80, 4470-516 Maia, Porto, Portugal, and
  • [Client’s Name] (“Client,” “you,” or “your”), with its principal business address at [Insert Client Address].

Together, Nexwinds and the Client are referred to as the “Parties.”


1. Purpose of the Agreement

The purpose of this Agreement is to define the onboarding process for new clients working with Nexwinds Solutions Lda. This includes the gathering of essential information, establishing goals, and creating a framework for collaboration and service delivery.


2. Scope of Onboarding Services

Nexwinds will perform the following onboarding activities:

2.1 Client Discovery and Requirement Gathering

  • Conduct initial meetings to understand the Client’s business needs, goals, and objectives.
  • Gather information required for the agreed services, including branding materials, website access credentials, marketing objectives, and technical details.

2.2 Documentation and Agreement Finalization

  • Clarify the scope of services under other agreements (e.g., SLA, Marketing Agreement, or Terms of Service).
  • Provide the Client with the final versions of all service agreements, privacy policies, and any applicable documents for approval.

2.3 Platform Setup and Account Access

  • Set up accounts, platforms, and tools (e.g., CRM, analytics tools, Google Ads, social media accounts) to enable the delivery of services.
  • Provide secure access and credentials to back-office platforms tailored for the Client, as needed.

2.4 Onboarding Timeline

The onboarding process will be completed within [Insert Duration, e.g., 2 weeks] from the Effective Date, provided the Client delivers all necessary information in a timely manner.

2.5 Training and Initial Consultation

  • Conduct one or more training sessions for Client representatives, if necessary, to demonstrate processes or tools.
  • Provide consultation on initial steps for service implementation and execution.

3. Client Responsibilities

To ensure the onboarding process is efficient, the Client agrees to:

  1. Provide Accurate Information: Deliver all requested information, documents, and branding materials promptly.
  2. Assign a Point of Contact: Designate a single representative responsible for coordinating with Nexwinds.
  3. Ensure Access: Grant access to any tools, platforms, and accounts required to initiate the onboarding process.
  4. Timely Feedback: Review and approve deliverables or requests within [Insert Timeframe, e.g., 3 business days].
  5. Compliance: Ensure compliance with all applicable laws, licenses, or third-party agreements that may affect the onboarding process.

4. Fees and Payment Terms

4.1 Onboarding Fee

The Client agrees to pay a one-time onboarding fee of €[Insert Amount]. This fee covers the time and resources invested in the onboarding process.

4.2 Payment Terms

  • Payment is due within [Insert Timeframe, e.g., 7 days] of signing this Agreement or upon receipt of an invoice.

5. Confidentiality

5.1 Definition

Each Party agrees to keep all confidential information received from the other Party secure and confidential. Confidential Information includes any data, materials, strategies, credentials, or business information shared during the onboarding process.

5.2 Obligations

The Parties agree not to:

  • Disclose Confidential Information to any unauthorized third party.
  • Use Confidential Information for any purpose other than fulfilling obligations under this Agreement.

6. Timeline and Delays

6.1 Onboarding Delays

If delays occur due to the Client’s failure to provide information, access, or approvals, the onboarding timeline may be extended.

6.2 Nexwinds’ Responsibilities

Nexwinds will notify the Client immediately of any delays caused by unforeseen circumstances and provide an updated timeline for completion.


7. Term and Termination

7.1 Term

This Agreement begins on the Effective Date and remains in effect until the completion of the onboarding process, unless terminated earlier.

7.2 Termination for Convenience

Either Party may terminate this Agreement with written notice if the other Party fails to fulfill its obligations.

7.3 Effect of Termination

If this Agreement is terminated:

  • Nexwinds will deliver any work completed up to the termination date.
  • The Client will pay all applicable fees for work performed prior to termination.

8. Limitation of Liability

Nexwinds’ total liability under this Agreement, whether in contract, tort, or otherwise, is limited to the amount paid by the Client for the onboarding fee. In no event shall Nexwinds be liable for indirect, incidental, or consequential damages arising from or related to this Agreement.


9. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of Portugal. The Parties agree to resolve any disputes arising out of or related to this Agreement through amicable negotiation. If no resolution is reached, the dispute shall be submitted to the exclusive jurisdiction of the courts of Porto, Portugal.


10. Miscellaneous

10.1 Amendments

This Agreement may be amended only in writing and signed by both Parties.

10.2 Entire Agreement

This Agreement constitutes the entire understanding between the Parties regarding client onboarding and supersedes any prior discussions or agreements.

10.3 Severability

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.


11. Acceptance of Terms

By signing this Agreement, both Parties acknowledge that they have read, understood, and agreed to the terms outlined herein.
